1. Who we are

FieldFleet ("FieldFleet", "we", "us") operates an online marketplace at fieldfleet.co.za that allows farmers, dealers, and private sellers ("Users") to list and browse agricultural equipment, including tractors, implements, TLBs and loaders, trucks, trailers, and spare parts ("Listings").

The following information is provided in accordance with section 43 of the Electronic Communications and Transactions Act 25 of 2002 (ECTA):

  • Legal status: Sole proprietorship. FieldFleet is a trading name of Ryno Lategan and is not a registered company. There is accordingly no company registration number.

The goods and services we offer, and their prices (in South African Rand, with no VAT added as FieldFleet is not VAT registered), are set out on our Pricing page. FieldFleet sells access to the platform; it does not sell the equipment listed on it.

2. What FieldFleet is, and is not

FieldFleet is a venue, not a party to any sale. We connect buyers and sellers, but we are not the seller, manufacturer, or owner of any item listed, and we are not involved in negotiating, concluding, or guaranteeing any transaction between Users. Any agreement to buy or sell equipment is made solely between the buyer and the seller.

3. Accounts

You must provide accurate information when creating an account and keep your login details secure. You're responsible for all activity under your account. Dealer accounts and private seller accounts may have different fees and features as described on our Pricing page.

One account per dealership. A dealer subscription entitles a single independent dealership to one account. Businesses that operate more than one branch, depot, or franchise location — and groups, co-operatives or franchises operating under a shared brand — require a group/enterprise agreement with a separate account and fee per branch. Sharing a single account across multiple branches or legal entities is not permitted, and FieldFleet may suspend or convert any account found to be doing so, or invoice it at the applicable per-branch rate. Group and enterprise pricing is arranged directly with FieldFleet.

4. Listings and content

Sellers are solely responsible for the accuracy of their Listings, including price, condition, specifications, photographs, and ownership of the item. FieldFleet does not inspect, verify, or guarantee the accuracy, quality, safety, or legality of any Listing. We reserve the right to remove any Listing that appears fraudulent, misleading, or in breach of these terms, without prior notice.

5. Transactions between Users

You acknowledge and agree that:

  • FieldFleet is not responsible for the condition, quality, safety, legality, or fitness for purpose of any equipment listed or sold;
  • FieldFleet does not handle payment between buyers and sellers for the equipment itself (only platform listing fees and subscriptions are paid to FieldFleet, as described in clause 6);
  • any dispute regarding a sale, including but not limited to defects, misrepresentation, non-delivery, or non-payment, is between the buyer and seller directly, and FieldFleet bears no liability for the outcome;
  • where a Listing indicates whether the price includes or excludes VAT, that indication is supplied by the seller and is not verified by FieldFleet. VAT on the sale of equipment, and the issuing of any tax invoice for it, is the responsibility of the seller. FieldFleet is not a party to the sale and does not issue tax invoices for equipment;
  • you are encouraged to inspect equipment in person, verify ownership and roadworthiness where applicable, and use secure payment methods before completing any transaction.

6. Fees, subscriptions, and payment

Dealer subscription fees and private seller listing fees are described on our Pricing page and are processed through our third-party payment provider, Paystack. FieldFleet does not store your card details. Fees are charged in South African Rand and, unless otherwise stated, are non-refundable once a billing period has started. Free trial periods convert to a paid subscription automatically at the end of the trial unless cancelled beforehand.

Founding dealer pricing. A limited number of independent dealerships may sign up at a discounted "founding" monthly rate. That rate is held for as long as the dealer maintains a continuous, active subscription. If the subscription is cancelled or lapses, the founding rate is forfeited and re-subscription is at the then-current standard rate. FieldFleet may change its standard subscription fees for new dealers from time to time (for example, on an annual basis); such changes do not affect the locked rate of a founding dealer whose subscription remains continuously active. We will give existing dealers reasonable notice before any change to the fee that applies to them.

7. Prohibited conduct

You may not use FieldFleet to list stolen, unlawfully obtained, or counterfeit equipment, to misrepresent the condition or ownership of an item, to harass other Users, or to attempt to circumvent platform fees through misleading listings.

8. Limitation of liability

To the maximum extent permitted by law, FieldFleet, its founders, employees, and agents shall not be liable for any direct, indirect, incidental, special, or consequential loss or damage arising from your use of the platform, including but not limited to loss arising from a transaction with another User, inaccurate Listings, platform downtime, or unauthorised access to your account. The platform is provided "as is" and "as available", without warranties of any kind, express or implied.

9. Indemnity

You agree to indemnify and hold FieldFleet harmless from any claim, loss, or damage (including legal costs) arising from your use of the platform, your Listings, or your breach of these terms.

10. Intellectual property

The FieldFleet name, logo, and platform design remain the property of FieldFleet. By posting a Listing, you grant FieldFleet a licence to display your photos and description on the platform for the purpose of operating the marketplace.

11. Suspension and termination

We may suspend or terminate any account that breaches these terms, with or without notice, at our discretion.

12. Changes to these terms

We may update these terms from time to time. Continued use of the platform after changes are posted constitutes acceptance of the updated terms.

13. Cooling-off and cancellation

Where section 44 of ECTA applies to your purchase of a subscription from us, you may cancel that purchase without reason and without penalty within 7 days of the transaction, and we will refund the amount you paid, less the direct cost of returning any goods (there are none in the case of a digital subscription). This right applies to electronic transactions concluded by consumers and does not apply to the equipment listed on the platform by other Users, because FieldFleet is not the seller of that equipment.

Separately from the above, you may cancel a subscription at any time from your dealer dashboard. Cancellation takes effect at the end of the billing period you have already paid for; you keep access until then, and no further amount is charged. We do not pro-rate refunds for a period that has already begun.

14. Complaints and disputes

If something has gone wrong, please tell us first — most issues are resolved quickly and directly. Send a complaint to hello@fieldfleet.co.za with your dealer reference (if you have one) and a description of the problem. We aim to acknowledge complaints within 5 business days.

If we cannot resolve a dispute between us, the parties will first attempt to settle it by negotiation in good faith. Failing that, either party may pursue the matter in a South African court of competent jurisdiction. Nothing in these terms limits any right you may have to approach the Consumer Goods and Services Ombud, the Information Regulator, or any other body with jurisdiction.

Disputes between Users — for example a disagreement about the condition, ownership, or delivery of a machine — are between those Users. FieldFleet is not a party to them and cannot adjudicate them, although we may suspend a Listing or an account where our terms have been broken.

15. Governing law

These terms are governed by the laws of the Republic of South Africa. Nothing in these terms limits any right you have under the Consumer Protection Act 68 of 2008, where it applies.
